You agree not to use Services or Products for any illegal, harmful, fraudulent, infringing or offensive activities, or in any manner that violates third party agreements or applicable laws. We may suspend your access if we suspect Terms violations.
Intellectual Property
We retain all ownership rights in Services deliverables, Products, technologies, designs and inventions we develop. You retain rights in materials provided for use in Services/Products and grant us licenses to use them accordingly.
Confidentiality
We will maintain the confidentiality of your confidential information except to the extent required by compulsory law. You agree to respect our intellectual property, trade secrets and public image.
Disclaimers and Limitation of Liability
We aim to provide high quality Services/Products but cannot guarantee any particular results or outcomes. Our total liability is limited, to the maximum extent permitted by law, to the fees/amounts paid by you to us.
Billing and Payments
Fees or access charges for Services/Products will be as quoted or agreed between us. All outstanding invoices are to be paid within 30 days. Accounts over 30 days late incur a 5% monthly late fee.
Term and Termination
These Terms remain in effect until all active Service engagements/Product subscriptions are completed. Either party can terminate engagements/subscriptions by providing 30 days prior written notice. You remain obligated to pay for all Services performed or Product access provided through the date of termination.
Governing Law
These Terms are governed by and construed in accordance with Swiss law to the exclusion of conflict of laws provisions. Exclusive place of jurisdiction shall be Zug, Switzerland.
